Terms of Service

This MomentaLive Terms of Service agreement (the “Agreement”) governs the relationship between S12V Labs LLC (the “Company”) and any person using our services (the “Client” or “You”). By using our services, you agree to this Agreement in full.

1. General Provisions and Definitions

1.2 Client Any person using the Company’s services or systems under this Agreement (the “Client” / “You”).

1.3 Services and System The Company provides AI-powered services to transform static images into dynamic videos and related features (“Services”). The Services are available via https://momenta.live (the “Website”) and any other online ecosystem used by the Company (collectively, the “System”). Content generated while using the Services (e.g., photos, videos) is referred to as “Generated Content.”

1.4 Acceptance and Effectiveness By using the Services or System, you agree to this Agreement and other applicable rules. This Agreement takes effect when you purchase or access any paid subscription plan. Some rules may also apply to pre-payment use or one-time purchases.

1.5 Changes and Updates The Company may update this Agreement at any time. Continued use of Services constitutes acceptance of any updates. Latest version: https://momenta.live/terms

1.6 Data Processing You agree the Company may process personal data as necessary to perform this Agreement.

1.7 Withdrawal You waive the right of withdrawal because the Services are digital content not supplied on a tangible medium.

1.8 Disagreement If you do not agree with this Agreement, stop using the Services or System immediately.

2. Content Policy

We have developed this Content Policy to ensure a safe, respectful, and positive environment for all members of the MomentaLive community.

If you find any content on the Website that violates this policy, please report it to us — we will review it and take appropriate action.

2.1. Depictions of People and Sensitive Visuals

All uploaded or animated visuals must depict real people or realistic representations in a respectful and appropriate manner. Content must never exploit, sexualize, or depict harm toward minors.

Photos including children or families (for example, parents with kids) are absolutely allowed, as long as they are wholesome, family-friendly, and non-sexual in nature.

Content that sexualizes, endangers, or suggests harm involving minors — even in stylized or edited form — is strictly prohibited and may be reported to relevant authorities.

2.2. Spam and Marketing

MomentaLive must not be used for unsolicited advertising, promotions, or spamming. Sharing logos, promotional visuals, or marketing materials unrelated to your personal memories or creative projects is not allowed.

If you are unsure whether your content could be considered promotional, please contact our support team for clarification.

2.3. Real People and Consent

Do not upload or animate photos of real individuals without their explicit consent. This includes public figures and celebrities. You are solely responsible for ensuring that you have permission to use any images you upload.

2.4. Self-Harm and Sensitive Topics

Content that glorifies, encourages, or provides instructions on self-harm, suicide, or related behaviors is prohibited. If you’re experiencing distress, please consider reaching out to someone you trust or a local support organization.

2.5. Violence and Graphic Content

Excessively violent, gory, or disturbing visuals are not allowed. Content that depicts or encourages any form of violence, cruelty, or abuse will be removed.

2.6. Hate Speech and Extremism

MomentaLive does not allow visuals that promote hate, harassment, or discrimination. This includes imagery or symbols targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or nationality. Any content that encourages hostility, exclusion, or harm toward others will be removed.

2.7. Illegal Activities

You may not upload or create content that depicts, promotes, or facilitates illegal activities under applicable laws, including those of your country or region. MomentaLive also complies with international digital safety and content standards and may remove or report content that violates them.

2.8. Submissions and Ownership

If you share feedback, ideas, or suggestions with MomentaLive (for example, about new features or improvements), you agree that we may use them freely to enhance our services — without obligation to compensate or credit you.

This does not affect your ownership rights for personal photos, animations, or creations you upload to the platform. We will never publicly share your personal content without your explicit consent.

2.9. AI-Generated Content Disclaimer

MomentaLive uses artificial intelligence to animate and enhance all photos uploaded to the platform. While we strive for realistic and high-quality results, automated systems may occasionally produce unexpected or imperfect visuals. You are responsible for ensuring that uploaded photos and resulting animations comply with this policy and applicable laws, including privacy and consent requirements.

2.10. Data Use for Service Improvement

MomentaLive may securely retain and analyze anonymized data and generated content to improve its AI models and user experience. We will never publish or distribute your personal content outside of these purposes.

2.11. Prohibited Content Summary

You may not upload, animate, or distribute content that:

  • Is sexually explicit, violent, or otherwise inappropriate for a general audience;
  • Depicts or suggests harm toward minors or vulnerable individuals;
  • Promotes hate, discrimination, or violence;
  • Is defamatory, misleading, or violates privacy;
  • Encourages illegal acts or unsafe behavior;
  • Exploits or misrepresents real people without consent;
  • Uses political, extremist, or hate group imagery or symbols;
  • Is intended to shock, disgust, or offend viewers.

3. Access to Services and Accounts

  • You must create an account to access Services.
  • Provide accurate, complete information and maintain the confidentiality of your login credentials.
  • Only use the Services for personal, lawful purposes.
  • You may be asked to verify that you are human through anti-bot measures.

4. Suspension and Removal of Access

  • Accounts may be suspended for discrepancies, violations of this Agreement, or illegal activity.
  • Suspension notices will be sent via email, including reason and any remedy period.
  • The Company may contact authorities and impose lifetime bans for serious violations.

5. Payments and Refunds

5.1 Pricing Control

MomentaLive sets all prices, subscription durations, promotions, and related rules.

5.2 Current Prices

Prices are displayed in the System after selecting a plan (e.g., “Claim my plan”). For plan changes or assistance, contact: sha-sabir@yandex.ru.

5.3 Currency

All prices are in USD unless stated otherwise.

5.4 Check Before Ordering

Verify the price and features before purchasing. Ongoing service prices may change, but only with your consent given at initial subscription.

5.5 Payment Timing

Fees are collected after selecting a plan and before account creation.

5.6 Billing Details

Calculation, method, period, and frequency are shown in the System at order confirmation.

5.7 Recurring Charges

If you do not cancel, recurring charges will apply per your subscription plan.

5.8 Subscription Choice

You must opt into subscriptions and may cancel according to plan rules.

5.9 Valid Payment Method

Keep payment details accurate, valid, and sufficient.

5.10 Taxes

Fees are net of taxes. You are responsible for any applicable taxes or duties.

5.11 Payment Rights

You warrant the right to use the payment method provided.

5.12 Subscription Model

  • Multiple plan options are available (pricing and terms may vary).
  • Limited-time discounts may apply.
  • Bonus Referral Program:

    • Referrer: +10 credits when a new user subscribes via your link.
    • Referred user: +10 credits upon subscription.
    • Credits valid 30 days; non-transferable; no cash value.
    • Abuse may result in disqualification, suspension, or forfeiture of credits.
    • Program may change or end without notice.
    • No refunds if credits (including bonus) are used after subscription, except the initial signup credit.

5.13 Auto-Renewal

Subscriptions renew automatically for a period equal to the last paid term.

  • Exception: 1-week plans renew to 1-month.
  • Charged at the then-current, non-discounted rate to your saved payment method.
  • Continues until canceled.

5.14 Billing Day

Charges occur on the same calendar day as your initial or last payment (subject to system or non-working days). If payment fails due to client reasons, up to six retry attempts will occur within two months.

5.15 Price/Plan Changes

Cancel at least two days before the end of the current period to avoid renewal. Website subscribers may cancel via sha-sabir@yandex.ru.

5.16 Cancel to Stop Use

Subscriptions must be canceled to stop future charges.

5.17 Plan Periods

Plan periods are generally 1-week, 1-month, or 2-month (may vary). Check the plan description for details.

54.18 Unlimited Upgrade (if offered)

A one-time payment may grant unlimited access according to promotional rules.

5.19 One-Time Add-Ons

Extra credits or add-ons may be purchased for a limited time and are governed by offer rules.

5.20 Client Obligations

You agree to:

  • Cover all additional costs/taxes arising from your use.
  • Use a valid payment method.
  • Provide accurate, up-to-date account and order information.
  • Understand that service may be suspended and refunds forfeited for inaccurate information.

5.21 Third-Party Payment/Admin Providers

Omniroot LLC (USA) and Novarock UAB (Lithuania) support payments and refunds. For inquiries, contact: sha-sabir@yandex.ru.

5.22 Payment Gateways

Payments are processed by third-party gateways. MomentaLive does not store card data and is not liable for disputes with payment providers.

5.23 Cancellation Notice

Notify at least two days before the next billing period. Late cancellations will apply to the following period.

5.24 Refund Policy

  • 14-day refund policy: Eligible if within 14 days of subscription and no subscription credits (initial signup credit excluded) have been used.
  • Company fault: Full or partial refunds may be issued if services were not delivered due to MomentaLive’s error.
  • Exceptional refunds may be granted at the Company’s discretion, proportional to usage.

5.25 Immediate Performance Consent

By purchasing, you consent to immediate service performance and acknowledge that you lose the right of withdrawal after 14 days or upon using subscription credits (excluding initial signup credit).

5.26 Withdrawal Loss

You agree to forfeit the right of withdrawal once the conditions in Sections 4.24 and 4.25 apply.

5.27 Billing Claims

Fee or charge disputes must be submitted within 30 days to sha-sabir@yandex.ru.

6. License to Use the System

  • You are granted a limited, non-transferable license to access the System for personal, lawful use.
  • All intellectual property remains the property of the Company.
  • You may not republish, sell, redistribute, or modify the System content without permission.

7. Risks

  • Services are provided for entertainment purposes.
  • Generated content may not reflect reality and may distort appearance.
  • You assume all risks, including compliance with laws and third-party platforms.
  • The Company is not liable for system interruptions or unauthorized access.

8. Third Parties and Disclaimers

  • The Company may share data with service providers as necessary.
  • External links are for convenience; the Company does not guarantee their accuracy.
  • System content may contain errors; verify independently if needed.

9. Indemnification and Warranties

  • You agree to defend and indemnify the Company against claims arising from your use or breaches.
  • Services are provided “as-is”; no guarantees beyond this Agreement.
  • Suggestions and feedback may be used by the Company without obligation or compensation.

10. Termination

  • The Company may terminate or suspend access for violations.
  • You may terminate your account by canceling your plan.
  • No refunds are due for elapsed subscription periods.

11. Governing Law and Sanctions

  • This Agreement is governed by the laws of Wyoming, USA.
  • You may not use the Services for money laundering, terrorist financing, or to violate sanctions.
  • Disputes are subject to the courts of Wyoming, USA.
  • Class action claims require written consent of all parties.

12. Miscellaneous

  • English governs all communications; the English version prevails.
  • Updates take effect when published. Continued use constitutes acceptance.
  • You may not transfer rights without prior written consent.
